TERMS OF SERVICE AND PUBLIC OFFER

[ElectronicsLab / Shapovalov Evgeny] (hereinafter referred to as the "Seller") and any individual or entity (hereinafter referred to as the "Buyer") purchasing digital goods on the website
https://electronicslab.su/.
By completing a purchase, the Buyer confirms that they have read, understood, and agreed to be bound by these Terms.
1. SUBJECT OF THE AGREEMENT
1.1. The Seller is the sole Developer and copyright holder of the Software. The Seller grants the Buyer a limited, non-exclusive, non-transferable license to use the Software via an activation key

1.2. The Product is a digital item delivered exclusively via electronic means (email or personal account on the website). No physical media (CDs, USBs) will be shipped.
2. PRODUCT DELIVERY AND VALIDITY PERIOD
2.1. Delivery Timeframe
The Seller shall deliver the Product (activation key) to the email address provided by the Buyer no later than
18 (eighteen) hours from the moment the payment is successfully processed. If the delivery is delayed beyond this period, the Buyer is entitled to a full refund upon request, provided the key has not been sent yet.
2.2. Delivery Confirmation
The Product is considered delivered and the service fully rendered at the moment the Seller's system sends the email containing the activation key.
2.3. Validity Period: Each key is valid for a period of
2 (two) months (60 days).
2.4. Start of Term:
The 60-day period begins strictly from the timestamp of the email sent by the Seller containing the Product.
2.5. Buyer’s Responsibility: The Buyer is responsible for activating the key within this 2-month window. Failure to activate the key within the specified timeframe does not entitle the Buyer to a replacement, extension, or refund.
3. PRICING AND PAYMENT
3.1. All prices are listed in [USD/EUR/etc.].
3.2. The Buyer is responsible for any taxes, duties, or currency conversion fees imposed by their bank or local tax authorities (VAT, GST, etc.).
3.3. Payments are processed through third-party secure gateways. The Seller does not store credit card information.
4. REFUND AND RETURN POLICY
4.1.
Digital Nature: Due to the intangible nature of digital software keys, all sales are final. Once a key has been delivered to the Buyer, it cannot be "returned" or "deactivated."
4.2.
No Refunds: Refunds are not provided for:
- Change of mind or "mistake" purchases.
- Incompatibility of the software with the Buyer’s hardware or OS.
- Failure to use the key within the 2-month validity period.
4.3.
Defective Products: A refund or replacement is only possible if the key is proven to be defective at the moment of delivery. In such cases, the Buyer must contact Support within 48 hours of purchase with screenshots of the error.
5. DISPUTE RESOLUTION AND CHARGEBACKS
5.1.
Mandatory Pre-dispute Procedure: In the event of any issue, the Buyer agrees to contact the Seller’s support team at
electronicslab2025@gmail.com before initiating a dispute with a bank or payment processor (e.g., PayPal, Stripe).
5.2.
Chargeback Protection: Any fraudulent chargeback (claiming a non-delivery when the key was sent) will result in the immediate blacklisting of the Buyer and reporting to specialized anti-fraud databases.
5.3.
Evidence: For any dispute, the Seller’s server logs and email delivery timestamps shall serve as primary evidence of delivery.
6. LIMITATION OF LIABILITY
6.1. The Product is provided on an "as is" and "as available" basis.
6.2. While the Seller strives for the highest quality of the Software, the Product is provided "as is." The Seller does not guarantee that the Software will be error-free or meet all Buyer's specific requirements. The Seller is not liable for any indirect, incidental, or consequential damages arising from the use of the Software.
6.3. The Seller’s maximum liability is limited to the amount paid by the Buyer for the specific Product in question.
7. INTELLECTUAL PROPERTY
7.1. All intellectual property rights, including copyrights, trademarks, and trade secrets related to the Software, belong exclusively to the Seller. This Agreement does not transfer ownership of the Software to the Buyer.
7.2. Reselling, sharing, or duplicating the keys is strictly prohibited and will result in the voiding of the key without a refund.
8. GOVERNING LAW
8.1. This Agreement shall be governed by and construed in accordance with the laws of
[Russia].
8.2. Any legal action or proceeding shall be brought exclusively in the courts of
[Orsk/Russia].
